Terms and Conditions for Party Flow Applications

These Terms and Conditions apply to:

1. Party Flow
2. Party Flow Seller
3. Party Flow Rider
4. Party Flow website and related services

By accessing or using any Party Flow service, you agree to these Terms and Conditions.

1. Eligibility

Users must:

• Be legally capable of entering into a binding agreement
• Provide accurate registration information
• Use the platform for lawful business purposes
• Hold required business registrations, licences or approvals
• Comply with applicable tax and commercial laws

2. User Accounts

Users are responsible for:

• Providing correct information
• Protecting OTPs, passwords and account credentials
• Activities performed through their account
• Informing Party Flow about unauthorised access
• Updating changed business or contact information

Party Flow may verify, reject, suspend or terminate an account where information is false, incomplete or misleading.

3. Party Flow Marketplace

Party Flow provides a digital platform connecting independent buyers and sellers.

Unless expressly stated otherwise:

• Sellers independently list and sell products
• Sellers determine product pricing and availability
• Sellers are responsible for product quality and description
• Buyers are responsible for reviewing products before ordering
• Transport and delivery may be handled by independent providers
• Party Flow is not the manufacturer of every product listed

4. Seller Registration

Seller accounts may be subject to:

• Business verification
• Identity verification
• GST verification
• Product verification
• Subscription or registration fees
• Approval of products and categories
• Acceptance of seller-specific terms

Payment of a registration or subscription fee does not guarantee orders, sales or business performance.

5. Product Listings

Sellers must ensure that:

• Product information is accurate
• Product images represent the actual product
• Prices and taxes are correctly displayed
• Stock information is updated
• Minimum quantities are clearly mentioned
• Packaging and carton information is accurate
• Products comply with applicable laws
• Intellectual-property rights are not violated

Party Flow may remove or suspend any product listing that is unlawful, misleading, prohibited or inconsistent with platform standards.

6. Orders

An order may be subject to:

• Product availability
• Seller confirmation
• Minimum-order quantities
• Packaging requirements
• Payment confirmation
• Transport availability
• Address verification

An order shown in the application may not be considered finally accepted until confirmed by the relevant seller or Party Flow system.

7. Prices, Taxes and Payments

Product prices may:

• Exclude or include GST as stated
• Change before order confirmation
• Depend on quantity
• Differ between suppliers
• Include separate transportation charges

Buyers are responsible for reviewing the complete payable amount before confirming an order.

Payments may be processed through authorised payment providers. Party Flow does not guarantee uninterrupted availability of third-party payment services.

8. Dispatch and Delivery

Dispatch and delivery periods are estimates unless expressly guaranteed.

Delays may occur because of:

• Product availability
• Supplier processing
• Transport availability
• Weather conditions
• Traffic
• Government restrictions
• Address problems
• Events beyond reasonable control

Users must provide complete and accurate pickup and delivery information.

9. Rider Responsibilities

Party Flow Rider users must:

• Use only their authorised account
• Follow assigned pickup and delivery instructions
• Handle products responsibly
• Protect customer and seller information
• Update delivery status accurately
• Not falsely mark an order as delivered
• Submit genuine delivery proof
• Comply with traffic and safety laws
• Immediately report accidents, loss or delivery problems

10. Cancellations, Returns and Refunds

Cancellations, returns and refunds may depend on:

• Seller policy
• Product category
• Product condition
• Customised or personalised status
• Dispatch status
• Delivery completion
• Damage or shortage evidence
• Applicable order terms

Approved refunds will be processed according to the applicable payment method and processing timelines.

11. Prohibited Activities

Users must not:

• Provide false information
• Upload misleading product listings
• Commit fraud
• Misuse customer or supplier information
• Upload unlawful or offensive material
• Infringe copyrights or trademarks
• Manipulate prices or orders
• Access another user’s account
• Introduce viruses or malicious software
• Copy, scrape or misuse platform information
• Use the applications for illegal activities

12. Intellectual Property

Party Flow’s:

• Name
• Logo
• Application design
• Website content
• Software
• Graphics
• Text
• Database structure
• Branding

are owned by or licensed to Party Flow.

Users may not copy, modify, distribute or commercially exploit Party Flow intellectual property without written permission.

13. Suspension and Termination

Party Flow may suspend or terminate accounts for:

• Violation of these terms
• Fraud or suspected fraud
• Non-payment of applicable fees
• Misleading listings
• Repeated customer complaints
• Abuse of the platform
• Legal or regulatory reasons
• Security risks

14. Disclaimer

Services are provided on an “as available” basis.

Party Flow does not guarantee:

• Continuous or error-free access
• A minimum number of orders
• Seller profitability
• Product availability at all times
• Delivery within every estimated timeframe
• Accuracy of information independently provided by third parties

15. Limitation of Liability

To the extent permitted by law, Party Flow will not be responsible for indirect, incidental, special or consequential losses arising from:

• Use or inability to use the platform
• Independent seller actions
• Product-quality disputes
• Transport delays
• Account misuse
• Third-party services
• Events outside reasonable control

Nothing in these terms excludes liability that cannot legally be excluded.

16. Indemnification

Users agree to indemnify Party Flow against claims, losses or expenses resulting from:

• Their violation of these terms
• Unlawful activity
• Misleading product information
• Intellectual-property infringement
• Misuse of personal information
• Failure to comply with applicable law

17. Governing Law

These Terms and Conditions will be governed by the laws of India.

Courts located in [Enter City and State] will have jurisdiction, subject to applicable law.

18. Changes to Terms

Party Flow may update these Terms and Conditions when services, business processes or legal requirements change.
